MERA-Soft GmbH License Agreement
for Standard-, Developer-, Team- and Enterprise Version
PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.
YOUR INSTALLATION, COPYING, OR USE OF THIS PRODUCT INDICATES YOUR ACCEPTANCE OF THIS LICENSE, AND THAT YOU ARE BOUND BY THIS AGREEMENT.
IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, THEN DO NOT COPY, INSTALL, OR USE THIS PRODUCT.
MERA-Soft GmbH only sells the right to use the product. MERA-Soft GmbH still owns the product and all copies of the software.
MERA-Soft GmbH retains all rights not explicitly granted in this license. MERA-Soft GmbH grants a non-exclusive license to use, copy and modify the software only as described below.
The license is per individual developer unless otherwise specified. One developer may use a single license on different machines as long as no other developer uses the same license at the same time.
The payment of the product is for the right to use it at design time. The licensing fee is independent of the number of users that view the charts.
It is not allowed to distribute elements of the software to use them at design time! Also it is not allowed to rent, lease or sell the software without an explicit authorization by MERA-Soft GmbH
You may not use the product in whole or parts as the basis for developing a product that provides substantially the same functionality as the licensed product or another product of the product-family. You will undertake no action, or help somebody else in taking any action that would result in limitations of sales, licensing or use of the product or any modification or extension of it by MERA-Soft GmbH.
You may use only redistributable files on webpages that are visible for other persons than the developer of the webpage. In the event you modify the redistributable files you have to obfuscate the source. You also have to include a valid copyright notice on your webpages.
In the event you develop any modifications, enhancements, derivative works and/or extensions to the licensed source code, either independently or jointly with MERA-Soft GmbH, such modifications, enhancements, derivative works and/or extensions and all rights associated therewith will be the exclusive property of MERA-Soft GmbH. You will not grant, either expressly or implicitly, any rights, title, interest, or licenses to any such modifications, enhancements, derivative works and/or extensions to any third party. You will, however, be entitled to use such modifications, enhancements, derivative works and/or extensions. You hereby assign all rights, title and interest in and to such modifications, enhancements, derivative works and/or extensions of the licensed source code to MERA-Soft GmbH. You also agree to execute, acknowledge and deliver to MERA-Soft GmbH all documents and do all things MERA-Soft GmbH deems necessary or desirable, at no cost to but at MERA-Soft GmbH's expense, to enable MERA-Soft GmbH to obtain and secure such modifications, enhancements, derivative works and/or extensions anywhere in the world. You agree to secure all necessary rights and obligations from relevant employees or third parties in order to satisfy the above obligations.
Termination: This license and the right to use the product will terminate immediately without notice from MERA-Soft GmbH if you fail to comply with any provision of this license. Upon termination, you must destroy all copies of the software.
Limited warranty: MERA-Soft GmbH warrants for a period of 90 days from the date of purchase that the product substantially conforms to its attached specifications. Except for the foregoing warranty, the product is provided as is without other warranty of any kind.
MERA-Soft GmbH does not warrant that the product will be error free or that the user will be able to operate the product without problems or interruptions.
MERA-Soft's entire liability and your exclusive remedy shall be the repair of the product or, if the repair is not possible, the refund of the licensing fee. Any claims made under this warranty must be made during the warranty period.
In no event will MERA-Soft GmbH or its suppliers be liable for any loss of data, profit, or revenue, or for special, indirect, consequential damages arising out of the use of or inability to use the product, even if MERA-Soft GmbH has been advised of the possibility of such damages.
In case of invalidity of any provision of this license, the remaining provisions are still in force.
